Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Speakuly AI - English Speaking Coach mobile application (available on the Google Play Store) and the website at speakuly.com(collectively, the "Service"), operated by Speakuly AI / TechnoAndroidAG("we," "our," or "us"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. Users between 13 and 18 must have parental consent.

2. Account Registration

You may register using your Google account via Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@speakulyai.com if you suspect unauthorized access to your account.

3. License to Use the App

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Speakuly app on your Android device (via Google Play Store) for your personal, non-commercial English learning purposes. You may not:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse-engineer or attempt to extract the source code of the app
• Use the Service for any unlawful purpose or in violation of these Terms
• Scrape, crawl, or use automated tools to access the Service
• Impersonate another person or create false identities

4. Subscriptions and Payments

Speakuly offers a free tier and optional paid subscription plans ("Premium") to unlock advanced features. Subscriptions are managed through the Google Play Store. By purchasing a subscription:

• You authorize Google Play to charge the applicable subscription fee to your payment method
• Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
• You can manage or cancel your subscription in the Google Play Store app settings
• Prices are subject to change with prior notice

5. User Content

You retain ownership of any content you submit (e.g., spoken practice responses). By using the Service, you grant us a limited, worldwide, royalty-free license to process your content solely to provide and improve the Service (e.g., generating AI feedback). We do not use your personal audio recordings for training AI models without your explicit consent.

6. Prohibited Conduct

You agree not to use the Service to:

• Upload or transmit any illegal, harmful, offensive, or inappropriate content
• Harass, threaten, or harm other users
• Circumvent any security or access controls
• Violate any applicable local, national, or international law or regulation
• Use the Service in any way that could damage, disable, or impair its functionality

7. Intellectual Property

All content, branding, software, and materials comprising the Service — including but not limited to the Speakuly name, logo, AI avatars, UI design, and learning modules — are owned by or licensed to us and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property beyond the limited license in Section 3.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or that any defects will be corrected. AI-generated feedback is for learning purposes only and may not be 100% accurate.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or engage in conduct we deem harmful to other users or the Service. You may terminate your account at any time via Settings → Delete Account in the app. Upon termination, your data will be deleted as described in our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or courts of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree, you must discontinue use and may delete your account.
